REQUIREMENTS FOR AMITY TREATY

To register under the Amity Treaty, an eligible foreign corporation needs to fulfill the following requirements:

  • The company must be majorly owned by American citizens or should have its share largely with the US citizens.
  • The directors of the authorized company must be majorly Either Thai or American nationals. If it has directors of other countries, then a ratio of 2:1 should be maintained.

THE US TREATY OF AMITY GRANTS 100% OWNERSHIP OF A COMPANY

The US-Thai Treaty of Amity and Economic Relations allows American corporations to own a majority of the shareholdings or the company, branch office or representative office based in Thailand. This special Treaty empowers all Americans and American corporations with the ability to have all-American shareholders so that they do not feel hesitant about transferring controlling ownership to others. However, there are many U.S. Businesses who are comfortable with pursuing joint ventures with Thai partners and permit them to own a majority stake in the company as they have adequate knowledge about Thai business culture and local regulatory framework.

Additionally, this Treaty exempts the American companies from most of the restrictions on foreign investment imposed by the Alien Business Act and treats them similar to Thai companies in most cases.
